Subscriber Terms and Conditions

1. Definitions

"TealPrint" means TealPrint Pte. Ltd., the provider of the TealPrint platform and services.

"Subscriber" means the individual professional, firm, or corporate entity who has registered for a TealPrint subscription and accepted these Terms and Conditions for business or professional purposes.

"Platform" means the TealPrint web application (accessible at tealprint.sg), including all features, dashboards, reports, and AI-powered content management tools accessible to the Subscriber.

"Subscription" means the recurring monthly service agreement between TealPrint and the Subscriber, as selected at the point of sign-up.

"AI-Generated Content" means any text, schema, analysis, or recommendation produced by the Platform using third-party artificial intelligence models.

2. Business-to-Business (B2B) Nature of the Agreement

The Subscriber acknowledges and agrees that the Platform is designed and provided exclusively for professional, commercial, and business use. By subscribing, the Subscriber warrants that they are entering into this agreement for purposes related to their trade, business, craft, or profession, and not as a consumer. Consequently, consumer protection legislation, including the Consumer Protection (Fair Trading) Act 2003 (Singapore), does not apply to this agreement to the fullest extent permitted by law.

3. Subscription Tiers and Pricing

TealPrint offers two subscription tiers. All prices are in Singapore Dollars (SGD) and are inclusive of applicable Goods and Services Tax (GST) where required by law.

4. Minimum Term Commitment

All subscriptions are subject to a 3-month minimum commitment from the date of first payment. You may not cancel your subscription during the Minimum Term. No refund will be issued for any portion of the Minimum Term, regardless of usage.

5. Promotional Offers and Commitments

Subscribers who complete the 3-month Minimum Term may be eligible for promotional offers as detailed in their subscription dashboard. Loyalty Commitment Offers and Upgrade Offers are available at TealPrint's discretion.

6. Early Termination Adjustment

If you have accepted a Loyalty Commitment Offer or an Upgrade Offer and you cancel before the end of the 12-month commitment period, an Early Termination Adjustment will apply. This adjustment is not a penalty, but a contractual rate correction reflecting the difference between the discounted rate received and the standard rate that would otherwise have applied.

7. Billing and Payment

Payment is processed by Stripe, a third-party payment processor. TealPrint does not store your payment card details. If a payment fails after three attempts over 7 days, your access will be suspended. If payment remains outstanding for 30 days, TealPrint reserves the right to terminate your subscription.

8. Cancellation Procedure

All cancellations require 30 days' written notice. You may submit a cancellation request through the Platform or by emailing support@tealprint.sg.

9. Service Delivery and Realistic Expectations

TealPrint provides AI visibility management services. Visibility in AI-generated responses builds over time. TealPrint does not guarantee specific citation frequency, ranking positions, or revenue outcomes. The pace of results depends entirely on third-party AI platforms whose algorithms are outside TealPrint's control.

10. AI-Generated Content and Liability Disclaimer

AI-Generated Content is probabilistic and may contain errors, inaccuracies, outdated information, or "hallucinations." TealPrint makes no representations or warranties regarding the accuracy, reliability, or completeness of any AI-Generated Content.

The Platform is a generic drafting tool, not a compliance engine. The Subscriber bears absolute, non-delegable responsibility for manually reviewing, verifying, and approving all AI-Generated Content before authorizing its publication.

To the maximum extent permitted by law, TealPrint expressly disclaims any and all liability for damages, losses, or claims arising directly or indirectly from the Subscriber's reliance on, or publication of, AI-Generated Content.

11. Regulatory Compliance and Absolute Indemnification

The Subscriber is solely responsible for ensuring that all content published through the Platform complies with the regulatory obligations applicable to their specific industry, licence, or professional registration.

The Subscriber agrees to unconditionally defend, indemnify, and hold harmless TealPrint, its directors, employees, and affiliates from and against any and all third-party claims, regulatory fines, disciplinary actions, damages, or legal costs arising from the Subscriber's publication of content, breach of applicable laws, or infringement of third-party intellectual property rights.

12. Exclusion of Liability for Third-Party Infrastructure and Cyber Attacks

TealPrint shall not be liable for any service interruption, data loss, or degradation of service caused by the failure, modification, or downtime of any third-party API or infrastructure provider.

While TealPrint implements commercially reasonable security measures, the Subscriber acknowledges that no system is impenetrable. TealPrint expressly disclaims any and all liability for data breaches, data exposure, or loss resulting from cyber attacks, hacking, or vulnerabilities in third-party infrastructure. The Subscriber assumes the risk of storing data on cloud-based platforms.

13. Limitation of Liability

To the maximum extent permitted by the Unfair Contract Terms Act 1977 (Singapore) and applicable law:

TealPrint shall not be liable for any indirect, consequential, special, or punitive damages, including loss of revenue, loss of clients, loss of data, or reputational harm, regardless of the cause of action.

TealPrint's total aggregate liability to the Subscriber for any claim arising out of or in connection with these Terms or the use of the Platform, whether in contract, tort (including negligence), or otherwise, shall be strictly limited to fifty percent (50%) of the total amount paid by the Subscriber to TealPrint in the three (3) months immediately preceding the event giving rise to the claim.

14. Intellectual Property

TealPrint makes no representations regarding the copyrightability of AI-Generated Content. Subject to the Subscriber's account being in good standing, TealPrint grants the Subscriber a non-exclusive, non-transferable, worldwide license to use, modify, and publish the AI-Generated Content produced within their account. This license terminates upon cancellation.

15. Data Protection

TealPrint processes personal data in accordance with the Personal Data Protection Act 2012 (Singapore). By subscribing, you consent to TealPrint collecting, using, and disclosing your personal data as described in the TealPrint Privacy Policy.

16. Price Changes and Amendments

TealPrint may revise standard subscription rates with a minimum of 60 days' written notice. TealPrint may amend these Terms and Conditions at any time by notifying active Subscribers by email at least 30 days before the amendments take effect.

17. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. The validity of the remaining provisions shall not be affected.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Singapore. Any dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC). The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language shall be English.
